Boeing Reaches Settlement With DOJ, Avoids Criminal Fraud Trial Over 737 MAX Crashes

Boeing has finalized a settlement with the U.S. Department of Justice that will avoid a criminal fraud conviction related to two fatal 737 MAX crashes in 2018 and 2019 that claimed 346 lives. 

As part of the agreement, Boeing will pay a total of $1.1 billion—comprising a $243.6 million fine, $444.5 million into a crash victims’ fund, and over $455 million allocated to strengthen internal compliance, safety, and quality assurance programs. The victims’ fund will be divided equally, providing approximately $1.28 million per victim. The DOJ also confirmed that Boeing had previously paid billions in civil settlements and compensation to the majority of affected families.

The settlement means Boeing will not face a criminal trial previously scheduled for June 23, 2025, nor will it be branded a convicted felon. However, Boeing is required to retain a compliance consultant and hold meetings between its board of directors and crash victims’ families. Boeing had agreed in July 2024 to plead guilty to a charge of conspiracy to defraud the United States for misleading regulators about the 737 MAX’s Maneuvering Characteristics Augmentation System (MCAS). 

The crashes, which occurred in Indonesia and Ethiopia, prompted a worldwide grounding of the aircraft and led to Boeing reporting over $20 billion in total crisis-related costs since 2019. While the DOJ stated the agreement brings “meaningful accountability” and “finality” to the case, critics—including several U.S. senators and victims’ families—have vowed to challenge the outcome.

 

Analyst Upgraded Rating and Price Target Following Settlement

  • BofA Securities analyst Ronald Epstein upgraded from Neutral to Buy and the price target from $185 to $260.

Sanofi to Acquire Blueprint Medicines Targeting Rare Immunology Treatments

Blueprint Medicines will be acquired by France’s Sanofi for up to $9.5 billion, including $9.1 billion in an initial cash payment of $129 per share and potential milestone payments totaling $6 per share through contingent value rights (CVRs). 

The transaction, expected to close in the third quarter pending regulatory and shareholder approvals, represents one of the largest European healthcare acquisitions this year. Blueprint’s pipeline includes Ayvakit (avapritinib), approved for advanced and indolent systemic mastocytosis, as well as early-stage assets elenestinib and BLU-808.

Systemic mastocytosis is a rare blood disorder characterized by the accumulation of abnormal mast cells, a type of white blood cell involved in allergic responses. The disease affects an estimated 10,000 to 20,000 people in the U.S. and Europe, many of whom have limited treatment options. Ayvakit is currently the only approved therapy for this condition, targeting both advanced and indolent forms, potentially benefiting thousands of patients globally.

JP Morgan analyst, Brian Cheng, forecast that Ayvakit could reach annual sales of around $2 billion by fiscal year 2030. Blueprint’s broader pipeline includes BLU-808, a wild-type KIT inhibitor in development for additional immunology indications. This acquisition adds to Sanofi’s recent investments, including $470 million for Vigil Neuroscience and $2.2 billion for Inhibrx earlier in 2024.

EOG Resources to Acquire Encino Acquisition Partners to Expand Utica Shale Footprint

EOG Resources announced a definitive agreement to acquire Encino Acquisition Partners for $5.6 billion, including assumed debt, in a move to strengthen its position in the Utica shale. The deal will add 675,000 net core acres and more than 1 billion barrels of undeveloped net resource to EOG’s portfolio, expanding its footprint in the Utica basin of Ohio. 

EOG leadership emphasized that the acquisition complements the company’s existing Utica assets and continues a years-long strategy of building a low-cost, high-return position in the region. The Utica and Marcellus shale plays currently produce over 35 billion cubic feet of natural gas per day and hold decades of remaining reserves.

As part of the deal, EOG will assume approximately $3.5 billion in new debt financing and utilize $2.1 billion in cash, with the transaction expected to close in the second half of 2025. Encino brings over 800 million cubic feet per day of firm natural gas transportation capacity, 70% of which accesses premium markets through major pipelines such as Texas Eastern and Tennessee Gas.

  • Raymond James analyst John Freeman maintained a Strong Buy rating and lifted the price target from $148 to $158.
  • Morgan Stanley analyst Devin McDermott kept an Equal-Weight rating while nudging the price target from $132 to $135.
  • BMO Capital analyst Phillip Jungwirth reiterated an Outperform rating and a $135 price target.
  • Bernstein SocGen analyst Bob Brackett reiterated a Market Perform rating and a $144 price target.
